Soncci Technology Service Agreement

Effective Date: October 5, 2024

The "Soncci Terms of Service" (hereinafter referred to as "this Agreement") is an agreement between you and Shenzhen Soncci Technology Co., Ltd. and its affiliates (hereinafter referred to as "Soncci" or "we") regarding the use of Soncci products, websites, applications, and other services (hereinafter referred to as "the Services").

Soncci hereby specifically reminds users to carefully read and fully understand all terms of this Agreement, particularly the provisions regarding the exclusion or limitation of liability, as well as the provisions on governing law and dispute resolution.Please note that by accessing and/or using Soncci products, programs, and services (such as copying any information or registering as a website user), you acknowledge that you have fully read, understood, and accepted all the contents of this Agreement, and have reached an agreement with Soncci to become a Soncci user.If you do not understand or do not accept any provision of this Agreement, you must immediately cease using Soncci and cancel your registration.

You declare that you are at least 18 years of age (or, if under 18, have obtained the consent of your parents or legal guardian) and are fully capable of understanding, accepting, and complying with these terms and conditions.

I. Scope of the Agreement

The Privacy Policy is an integral part of this Agreement and has the same legal effect as this Agreement.

In light of developments and changes in business, products, laws, policies, etc., we will make every effort to cover and explain the rights and obligations of both you and Soncci; however, we cannot fully guarantee that the terms of this Agreement completely cover all rights and obligations between you and Soncci, nor can we guarantee that they will fully meet future development needs.Soncci’s Legal Notice, Privacy Policy, Terms of Product Use, Product Manuals, Notices, Announcements, Operating Rules, Help Documents, and Friendly Reminders are all supplementary agreements to this Agreement; they are inseparable from this Agreement and have equal legal force. By using our services, you are deemed to have agreed to the aforementioned supplementary agreements.

II. Soncci Account Registration and Use

You may need to register a Soncci account to use certain features of Soncci. When creating an account, you must provide true, current, accurate, and complete information, and you should update your information as necessary to maintain its truthfulness and accuracy.You are responsible for maintaining the security of your password and for all activities that occur under your account. You may be held liable for any losses incurred by us or others resulting from unauthorized use. If you discover any security issues or unauthorized use of your account, you must notify us immediately.

III. Information and Services Provided by Soncci

Product/service information on Soncci, including promotional content, specifications, prices, quantities, and availability, is subject to change at any time.Although we make every effort to ensure the accuracy of the product/service information you view, due to objective factors such as internet technology and market conditions, the information displayed on the platform may be subject to delays or errors. You acknowledge and understand this situation and agree not to hold Soncci liable for breach of contract or infringement.If you discover any errors or have questions regarding product or service information, please do not place an order or accept the service, and please contact us.

You agree that Soncci has the right to send you and your designated recipient order information, promotional activities, advertisements, or advertising links via email, text message, phone call, or other means.

IV. Information Provided by the User

You warrant that the information you provide to Soncci:

  • is accurate, complete, truthful, and lawful;
  • You own or control all rights to any content contained in the user-uploaded information, and such information will not infringe upon any intellectual property rights or the rights of any third party;
  • contains no information or content that is false, fraudulent, harassing, defamatory, harmful, libelous, insulting, threatening, vulgar, obscene, or otherwise violates laws, public order, good customs, or social ethics;
  • There are no computer programs, documents, or other data—such as viruses or Trojan horses—that endanger the security, integrity, stability, or continuity of network or computer systems;

We will protect the personal information of users contained in the information provided in accordance with the provisions of the "Soncci Privacy Policy."

You agree to grant Soncci a worldwide, royalty-free, perpetual, and irrevocable right and license to use, reproduce, modify, distribute, and display the information you provide.

V. Links to Third-Party Websites

Some links on Soncci may direct you to websites not operated or controlled by Soncci. If we provide these links, it is solely for your convenience. While we make every effort to review and screen these links, the presence of such links does not imply Soncci’s endorsement of these websites, nor does Soncci assume any responsibility for the content of any linked websites.

If you choose to access third-party websites and use the products and services provided by such third parties, you must read and agree to the policies and terms of those third-party websites. You assume all risks and consequences that may arise from accessing and using such websites.

VI. Intellectual Property

All content included in this Service, including but not limited to text, images, music, videos, animations, trademarks, logos, graphics, visual interfaces, data, and computer code (“Content”), is owned by Soncci or used by Soncci under valid authorization.Unless otherwise expressly provided in writing, you may not, without Soncci’s prior written consent, reproduce, modify, distribute, sell, reprint, broadcast, disassemble, reverse engineer, decompile, hyperlink, transmit, store in an information retrieval system, or otherwise use any content on this Service in any manner.

All trademarks and logos used and displayed in the Service are the property of Soncci or its licensors.Nothing contained in this Service shall be construed as granting, by implication, estoppel, or otherwise, any license or right to use any of the aforementioned trademarks or logos without the written permission of Soncci or other parties. No person may use the Soncci name or Soncci’s trademarks or logos in any manner without prior written permission.

VII. Restrictions on Use

Soncci reserves the right to refuse to ship prohibited goods to countries, regions, or any entities or individuals blacklisted by the United Nations, the United States, the European Union, or other nations. Additionally, you may not use any products manufactured or sold by Soncci for any military purposes, to support terrorism, or in connection with nuclear facilities, chemical or biological weapons, missiles, or weapons of mass destruction.

You must comply with all applicable domestic and international export control laws and restrictions, including any restrictions regarding destination, end-user, and end-use. We reserve the right to suspend, restrict, or terminate your access to the Service or any part thereof for the purpose of complying with any such export control laws and restrictions.

VIII. Disclaimer

Our Services, including but not limited to the Website, Materials, User Submissions, any products or services offered on our Services, and all information, software, facilities, services, related communications, and other content, are provided on an “as is,” “as available,” and “without warranty of any kind” basis.

To the fullest extent permitted by applicable law, we disclaim all express or implied representations or warranties, including but not limited to: warranties of merchantability; non-infringement; fitness for a particular purpose; warranties arising from course of dealing or course of performance; the accuracy, reliability, usefulness, or completeness of any information contained in our Services;that access to our Services will be uninterrupted or error-free; or that our Services will be secure. We shall not be liable for any damages of any nature arising from your access to or use of our Services, including damages caused by viruses, worms, Trojan horses, or any other computer software or anomalies,such viruses, worms, Trojan horses, or any other computer software or anomalies may infect, affect, or damage your computer hardware, software, storage, or any other property of yours or others as a result of your access to or use of our Services.

Soncci and its affiliates, subsidiaries, directors, agents, employees, or other representatives shall not be liable for any losses arising from this Service, its use, or reliance on its content, including direct, indirect, special, incidental, or punitive damages.

IX. Force Majeure and Third-Party Causes

Soncci shall fulfill its relevant obligations in accordance with the law; however, we shall not be liable for breach of contract in the event of obstacles to performance, defects in performance, delays in performance, or changes to the content of performance resulting from the following causes:

  • Force majeure events such as natural disasters, strikes, riots, wars, government actions, or judicial or administrative orders;
  • Service interruptions or obstructions resulting from public service factors such as power outages or communication network failures, or any failure to meet your requirements due to hacker attacks, computer virus intrusions, blocking of illegal or harassing content, government regulations, or any other network, technical, communication line, or information security management measures;
  • Factors such as routine or emergency equipment and system maintenance, equipment and system failures, or network information and data security issues, provided that we have exercised due diligence in our management.

X. Amendments

Soncci may amend this Agreement from time to time in accordance with changes in national laws and regulations, as well as the need to maintain trading order and protect consumer rights. You are responsible for periodically reviewing any changes to this User Agreement. If you continue to use the Service after the changes are posted, you are deemed to have agreed to and accepted such changes.If you still do not agree with the changes that have taken effect, you must cease using the Service as of the effective date of such changes.

XI. Termination

Soncci reserves the right to restrict all or part of your access, cancel any outstanding orders, terminate the contract, or deactivate your Soncci account if any of the following circumstances occur:

  • Engaging in activities such as cyberattacks or mass advertising that disrupt the normal operation of the website or application, or interfere with the website or application’s ability to provide services to other users;
  • Repeatedly posting information unrelated to the products or services being sold in the comments or inquiry sections, or repeatedly submitting malicious negative reviews in violation of the platform’s credit evaluation system;
  • Seeking to gain benefits through improper means (such as third-party tools, cyberattacks, or credit card fraud) or other illegal methods that infringe upon the interests of third parties;
  • Making malicious claims or filing complaints two or more times by exploiting the seller’s errors or oversights, or verbally abusing or personally attacking sellers or customer service representatives without cause;
  • Refusing to accept goods or services multiple times within a short period for reasons unrelated to the quality of the goods or services;
  • Using an account for shopping to engage in claims or resale activities (such as wholesale or retail);
  • Providing false, inaccurate, or incomplete order information (including but not limited to name, phone number, ID number, email address, etc.);
  • You engage in other activities that disrupt the normal business operations of the platform or constitute illegal acts.

XII. Severability

If any part or provision of this Agreement is unlawful, invalid, or unenforceable, such part shall be deemed severable and shall not affect the validity or enforceability of the remaining provisions.

XIII. Governing Law and Other Provisions

This Agreement shall be governed by the laws of the People’s Republic of China. Any disputes arising from your use of Soncci products or services, or related to Soncci, shall first be resolved through amicable consultation with us. If such consultation fails to resolve the dispute, either party may file a lawsuit with the People’s Court having jurisdiction in the place where this Agreement was executed.

This User Agreement is entered into in Shenzhen, Guangdong.

All rights not expressly granted herein are reserved by Soncci, and you must obtain our prior written consent to exercise such rights. Soncci’s failure to exercise any of the aforementioned rights shall not constitute a waiver of such rights.
