Soncci Technology Terms of Use

The Soncci Service Agreement (the “Agreement”) is an agreement between you and Shenzhen Soqi Technology Co., Ltd. and its affiliates (“Soncci”, “we”, “us” or “our”) regarding the use of Soncci products, websites, applications and other services (the “Services”).

Soncci hereby reminds users that you must carefully read and fully understand the terms of this Agreement, especially the clauses on exemption or limitation of liability, applicable law and dispute resolution. Please note that by accessing and/or using Soncci products, programs and services (e.g., copying any information, registering as a user of the Site, etc.), you signify that you have fully read, understood, and accepted all of the contents of this Agreement, and have agreed with Soncci to become a Soncci user. If you do not understand or accept any of the terms of this Agreement, you shall immediately discontinue your use/registration with Soncci.

You represent that you are at least 18 years of age (or under 18 years of age but have the consent of your parent or legal guardian) and that you are fully capable of understanding, accepting and complying with these Terms and Conditions.

1. Scope of the Agreement

The Privacy Policy is an integral part of this Agreement and has the same legal effect as this Agreement.

According to the development and changes of business, products, laws, policies, etc., we will do our best to cover and explain the rights and obligations of you and Soncci, but we cannot fully guarantee that the terms of this Agreement fully cover all the rights and obligations of you and Soncci, nor can we guarantee that they fully meet the needs of development. Soncci’s legal notices, privacy policies, product terms of use, product manuals, notices, announcements, operating rules, help documents, and reminders are all supplementary agreements to this Agreement, which are inseparable from this Agreement and have the same legal effect. If you use our services, you are deemed to have agreed to the above supplementary agreement.

2. Application and Use of Soncci Account

You may be required to register for a Soncci account when you use some of Soncci’s features. When you create an account, you must provide true, current, accurate and complete information and, if necessary, update your information to maintain its truthfulness and accuracy. You are responsible for keeping your password secure and you are responsible for your actions on your account. You may be liable for losses incurred by us or others as a result of unauthorized use. If you become aware of any security issues or unauthorized use of your account, you should notify us immediately.

3. Information and Services Provided by Soncci

Product/service information such as product or service promotions, parameters, prices, quantities, and availability on Soncci is subject to change at any time. Although we will do our best to ensure the accuracy of the product/service information you browse, due to objective reasons such as Internet technology and market factors, the information displayed on the platform may have a certain lag or error, and you express your knowledge and understanding of this situation, and agree not to pursue Soncci’s liability for breach of contract or infringement. If you find that the product/service information is wrong or you have questions, please do not submit an order or accept the service, and please contact us.

You agree that Soncci has the right to send you and your designated recipients information such as order information, promotions, advertisements or advertising links by email, text message, telephone or other means.

4. Information provided by the user

You warrant that the information you provide to Soncci:

Correct, complete, true and legal;
You own or control all rights to any content contained in User Uploaded Information and will not infringe any intellectual property rights and any rights of third parties;
There is no false, fraudulent, harassing, slanderous, harmful, defamatory, insulting, intimidating, vulgar and obscene information or content that violates the law, public order and good customs, or social ethics or morals;
There are no computer software, documents or other data such as viruses and Trojan horses that endanger the security, integrity, stability and continuity of the network or computer system;

We will protect your personal information in accordance with the Soncci Privacy Policy.

You agree to grant Soncci a royalty-free, perpetual, irrevocable worldwide right and license to use, reproduce, modify, transmit and display the information provided by the User.

5. Links to Third Party Websites

Some of the links that Soncci may contain will take you to websites that are not operated or controlled by Soncci. If we have provided these links, we are doing so only as a convenience to you. While we do our best to review and screen them, the presence of a link does not imply endorsement by Soncci of those sites and is not responsible for the content of any linked site.

If you choose to enter a third-party website and use the products and services provided by the third party, please be sure to read and agree to the policies and agreements of the third-party website, and you must bear any risks and consequences that may arise from accessing and using such websites.

6. Intellectual Property

All content contained in the Service, including but not limited to text, images, music, video, animations, trademarks, graphics, graphics, visual interfaces, data and computer code (“Content”), is owned by or legally licensed to Soncci. Except as otherwise expressly provided in writing, none of the content on the Service may be copied, modified, transmitted, distributed, reproduced, broadcast, disassembled, reverse engineered, decompiled, hyperlinked, stored in an information retrieval system, or otherwise used in any way without the prior written consent of Soncci.

All trademarks and logos used and displayed on the Service are the property of Soncci or its licensors. Nothing contained in the Service shall be construed as granting, by implication, non-objection, or otherwise, any license or right to use any of the foregoing trademarks or logos without the written permission of Soncci or other parties. Without prior written permission, no one may use the name of Soncci and the trademarks and logos of Soncci in any way.

7. Restrictions on Use

Soncci reserves the right to refuse to send prohibited goods to countries or regions that have been blacklisted by the United Nations, the United States, the European Union and other countries, as well as to any institution or individual. At the same time, you may not use any products manufactured or sold by Soncci for any military purposes, support terrorism, nuclear facilities, chemical or biological weapons, missiles, weapons of mass destruction, etc.

You must comply with the provisions of any and all applicable domestic and international export control laws and restrictions, including any restrictions regarding destinations, end users, and end uses. We reserve the right to suspend, restrict, or terminate your access to the Service, or any portion thereof, in order to comply with any such export control laws and restrictions.

VIII. Disclaimer of Warranties

Our Services, including, but not limited to, the Site, Materials, User Submissions, any products or services offered on our Services, and all information, software, facilities, services, related communications, and other content are provided on an “as is,” “as available,” and “with all faults” basis.

To the fullest extent permitted by applicable law, we disclaim any representations or warranties, express or implied, including, but not limited to: warranties of merchantability; non-infringement; warranties of fitness for a particular purpose; warranties arising from transactions or performance; the accuracy, reliability, usefulness or completeness of any information contained in our Services; access to our Services will be uninterrupted or error-free; Our service will be safe. We are not responsible for any damages of any nature whatsoever arising from your access to or use of our Services, including damage caused by viruses, worms, Trojan horses or any other computer software or anomalies that may infect, affect, or damage your computer hardware, software, storage, or any other property of you or others as a result of your access to or use of our Services.

Soncci, its affiliates, affiliates, directors, agents, employees or other representatives shall not be liable for any damages, including direct, indirect, special, incidental or punitive damages, arising out of or in connection with the Service, use of, or reliance on the Service.

9. Force Majeure and Third Party Causes

Soncci performs its obligations in accordance with the law, but we are not liable for breach of contract due to obstacles, defects, delays, or changes in the content of the contract:

due to force majeure factors such as natural disasters, strikes, riots, wars, government actions, judicial and administrative orders, etc.;
Service interruption or obstruction due to power supply failure, communication network failure and other public service factors, or any service interruption or obstruction due to hacker attacks, computer virus intrusion, blocking of illegal content information, harassment information, government control and any other network, technology, communication line, information security management measures, etc.;
In the case that we have managed in good faith, due to factors such as routine or emergency equipment and system maintenance, equipment and system failure, network information and data security, etc.

10. Changes

Soncci may revise this Agreement from time to time in accordance with changes in national laws and regulations, as well as the need to maintain transaction order and protect consumer rights and interests, and it is your responsibility to check this Terms of Use periodically for changes. If you continue to use the Service after the change is posted, it means that you agree to and accept the change. If you still do not agree to the changes that have taken effect, you shall stop using the Service on the effective date of the changes.

11. Termination

Soncci reserves the right to restrict all or part of your rights, cancel the relevant unfulfilled order, terminate the contract, or cancel your Soncci account in any of the following circumstances:

Affect the normal operation of the website or application or affect the website or application to provide services to other users through cyber attacks, mass advertising, etc.;
repeatedly publishing information unrelated to the goods or services sold in the comment area or consultation area, or maliciously making negative reviews multiple times, violating the platform’s credit rating system;
Seek benefits through improper means (such as plug-in tools, cyber attacks, fraudulent bank cards, etc.) or other illegal methods that infringe on the interests of third parties;
Taking advantage of the seller’s fault or mistake to make malicious claims or complaints for two or more times, or verbally abusing or physically attacking the seller or customer service staff without reason;
Refusal to accept goods or services in a short period of time not due to reasons not attributable to the quality of goods/services;
Engaging in claims or resale business through account purchases (e.g., wholesale, retail);
The order information (including but not limited to name, telephone number, ID number, email address, etc.) provided by you is untrue, inaccurate or incomplete;
You have other illegal behaviors that affect the normal business order of the Platform.

12. Severability

If any part or provision of this Agreement is unlawful, void or unenforceable, that part shall be deemed severable and shall not affect the validity or enforceability of the remaining provisions.

13. Governing Law and Others

This Agreement shall be governed by the laws of the People’s Republic of China. Any dispute arising out of or in connection with your use of Soncci products or services shall be resolved through friendly negotiation with us in the first instance. If the negotiation fails, either party may file a lawsuit with the people’s court with jurisdiction in the place where the agreement is signed.

This use agreement is signed in Shenzhen, Guangdong.

Other rights not expressly granted by Soncci remain reserved by Soncci and you must obtain our written permission to exercise these rights. Soncci’s failure to exercise any of these rights will not constitute a waiver of such rights.
